Announcement: Invitation to the Ordinary General Assembly Meeting of the National Commercial Bank

The Board of Directors of the National Commercial Bank is pleased to invite the Bank’s General Assembly to convene in an Ordinary Session on Sunday, May 18, 2025, at 09:00 AM at the Bank’s General Administration Headquarters in the city of Al-Bayda.

In the event that the meeting cannot be held at the specified time and place, the alternative date will be Monday, May 19, 2025, at 09:00 AM at the same location.

The meeting will be held to discuss the following agenda items:

Review of the Board of Directors’ report on the Bank’s activities and financial accounts for the fiscal year 2024.

Review of the external auditors’ reports on the Bank’s activities and financial accounts for the fiscal year 2024.

Review of the Supervisory Committee’s report on the Bank’s activities and financial accounts for the fiscal year 2024.

Approval of the Bank’s financial statements for the year ended December 31, 2024.

Approval of the proposed distribution of net profits achieved for the fiscal year ended December 31, 2024.

Reconstitution of the Bank’s Board of Directors.

In accordance with the Bank’s Articles of Association, each shareholder has the right to attend and must complete registration procedures in advance, either in person or by written proxy. Proxy holders must present written authorization, and members of the Board of Directors or Bank employees may not be appointed as proxies.

Shareholders may review the financial reports, statements, and documents related to the meeting agenda at the Bank’s General Administration Headquarters on Al-Orouba Street in Al-Bayda or at the General Administration Branch on Al-Joumhouria Street in Tripoli, during official working hours starting from the date of this announcement.
